Contracts and process
Earnest deposit
A small deposit, commonly reported at about 2% of the price, paid when you sign the offer letter to show you are serious. See home loan and buying steps.
Offer letter (letter of offer)
A written offer to buy, usually before the SPA. Read what happens to the deposit if the loan is rejected.
SPA (sale and purchase agreement)
The main contract between buyer and seller, or buyer and developer. For new projects the form is regulated, and your lawyer should explain the payment stages, completion date and penalties.
Subsale
Buying from a previous owner instead of the developer. See new launch vs subsale.
Vacant possession (VP)
The point when the developer hands the keys and the unit is ready for you to move in or rent out.
Defect liability period (DLP)
The period after vacant possession in which the developer must fix defects, commonly 24 months in the standard housing development contract. Keep a dated defect list.
Certificate of Completion and Compliance (CCC)
The document issued by the project’s architect or engineer confirming the building is completed and safe to occupy. Ask whether it has been issued before you collect keys.
Housing development account
A regulated account into which buyers’ progress payments for projects sold before completion are paid, which developers can use only for the project. Ask your lawyer how it applies.
Title, tenure and land
Freehold and leasehold
Freehold has no expiry. Leasehold is for a fixed term, commonly up to 99 years. See freehold vs leasehold.
Strata title
Separate ownership of a unit in a building, such as a condo or serviced apartment, with shared ownership of common property. Its tenure follows the land beneath.
Master title
The title for the whole development land before individual strata titles are issued. Ask whether individual titles have been issued.
Malay Reserve Land and Bumiputera lot
Land and units reserved for Malays or Bumiputera buyers, generally closed to foreigners. See foreigners buying property in Johor.
State consent
Approval from the state authority needed for a foreigner’s purchase, such as in Johor. Your lawyer applies for it after the SPA is signed.
Dual key
One unit under one title with two lockable entrances. See dual-key property.
Money terms
MOT (memorandum of transfer)
The legal form that transfers ownership to you. Transfer stamp duty is paid on it. See stamp duty and legal fees.
Stamp duty
Government tax on documents such as the transfer and loan agreement.
RPGT (real property gains tax)
Tax on profits when you sell, with rates that depend on how long you held the property and your status. See foreign buyer costs.
MOF (margin of financing)
The percentage of the price the bank will lend. The rest is your down payment.
DSR (debt service ratio)
Your monthly debt payments divided by your gross monthly income. Banks use it to limit lending.
Lock-in period
A period during which paying off the loan early triggers a penalty.
Service charge and sinking fund
Monthly fees paid to the management body for maintenance of common areas and a reserve for major repairs. Ask for the current rate before buying.
Quit rent and assessment
Annual land tax (quit rent) and local council property tax (assessment). Ask the seller for the latest bills in a subsale.
Property types
Serviced apartment
A strata unit in a building with hotel-like facilities. Check its approved use, because some are zoned commercial, which can affect utilities and loans. Read project due diligence.
Condominium
A residential strata building. Short-stay rules depend on each building’s by-laws.
Landed property
A house on its own land, such as terrace, semi-detached or bungalow.
